Leesha Seller/Baker Agreement
Effective Date: June 5, 2025
Parties: This agreement is between Leesha Jai Ltd (“Leesha”, “we”, “us”, or “our”), and the individual or business registering as a seller or baker on the Leesha platform (“Seller”, “you”, or “your”).
1. Purpose of the Agreement
This agreement sets forth the terms under which you may list, promote, and sell food products (including baked goods and custom orders) through the Leesha platform, including both the mobile application and website.
2. Eligibility
To become a Seller or Baker on Leesha, you must:

Be at least 18 years old.

Operate in accordance with Nigerian laws and food safety standards.

Provide accurate and up-to-date information during registration.

Own or have the right to sell the food products listed.
3. Onboarding & Verification
Leesha reserves the right to:

Request identity and location verification.
-
Review sample products, menu, or kitchen setup virtually or physically.

Approve or reject Seller accounts at our sole discretion.
4. Use of the Platform
You agree to:

List only food items you can legally and safely prepare and deliver.

Provide clear pricing, descriptions, and allergen warnings.

Use the app/website responsibly and update item availability in real-time.
-
Accept orders only if you can fulfill them in the agreed timeframe.
5. Food Safety & Compliance
You are solely responsible for:

The hygiene, preparation, packaging, and delivery of your food.

Complying with NDLEA, NAFDAC, and any other local food safety regulations.

Disclosing allergens and ingredients where necessary.
Leesha may suspend your account if complaints or legal concerns arise about your food.
6. Payments and Payouts

Leesha collects payments on your behalf via the mobile app (online card, transfer, or Leesha Card).

Payment is remitted to you based on the selected payout schedule (daily/weekly).

Leesha charges a commission on every sale. Commission rate is available in your Seller dashboard.

You are responsible for any tax obligations resulting from your income.
7. Order Fulfillment and Cancellations

Orders must be accepted or declined promptly.
-
Repeated cancellations, late deliveries, or no-shows may lead to account suspension.

Leesha reserves the right to compensate affected buyers and deduct related costs from your payout.
8. Reviews and Ratings

Buyers may rate your food and service.

Leesha does not edit or remove reviews unless they violate our content guidelines.

Your rating may affect your visibility on the platform.
9. Intellectual Property
You grant Leesha the right to use your product photos, shop name, and descriptions for marketing and promotional purposes.
10. Termination

You may deactivate your account at any time via the Seller dashboard.

Leesha may suspend or terminate your account for violation of this agreement, poor performance, or legal concerns.

Pending orders must still be fulfilled or refunded as required.
11. Limitation of Liability
Leesha is a facilitator of transactions and not the producer of food. We are not liable for:

The quality or safety of food sold by Sellers.

Buyer disputes, except where mediation is needed.
-
Any indirect or consequential damages.
12. Data & Privacy
You agree to our Privacy Policy and permit Leesha to store and process your data in accordance with the Nigerian Data Protection Regulation (NDPR). Your data will not be sold or misused.
13. Modifications
Leesha may update this agreement from time to time. We will notify you via email or in-app notification. Continued use of the platform constitutes acceptance of the updated terms.
14. Governing Law
This Agreement shall be governed by the laws of the Federal Republic of Nigeria. Disputes will be resolved in the courts located in Abuja, Nigeria.
